Terms of Service
Effective Date: January 1, 2025

1. Introduction

Welcome to MV SkillLab, a training platform provided by MV Clouds Private Limited ("MV Clouds," "we," "us," or "our"). These Terms of Service (the "Terms") apply to your use of the MV SkillLab platform, located at MV Skilllab (the "Platform"), and all associated services (collectively, the "Service").

2. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access or use the Service.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that: (a) you are at least 13 years old; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

4. Accounts and Registration

To access certain features of the Service, you may need to register for an account ("Account"). When you register for an Account, you will be required to provide us with some personal information. You agree that the information you provide is accurate, complete, and not misleading, and that you will keep it up-to-date. You are solely responsible for maintaining the confidentiality of your Account and password. You agree to notify MV Clouds immediately if you believe your Account or password has been compromised.

5. Use of the Service

You may use the Service for lawful purposes only. You agree not to use the Service:

● In a way that violates any applicable law or regulation.
● For the purpose of exploiting, harming, or threatening others.
● To transmit or store any content that is infringing, defamatory, obscene, or otherwise objectionable.
● To interfere with or disrupt the Service or any servers or networks connected to the Service.
● To impersonate any person or entity.

Limited Access: You're granted limited access to use the MV SkillLab platform for your personal learning purposes only.

Restrictions: You cannot:
  ○ Copy, share, or sell any part of the Service.
  ○ Make changes to the Service.
  ○ Try to bypass any security measures.

Feedback: You can share your suggestions and feedback with us. By sharing your feedback, you allow MV Clouds to use it to improve the Service and develop new products. We may use your feedback without giving you any credit.

6. Payment and Refund

Payments for the services offered by MV SkillLab shall be on a 100% advance basis. Refunds, if any, will be as per our Refund Policy.

7. Ownership; Proprietary Rights.

The Service is owned and operated by MV Clouds Private Limited. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service provided by MV Clouds ("Materials") are protected by intellectual property and other laws. All Materials included in the Service are the property of MV Clouds or their third-party associations or licensors. Except as expressly authorized by MV Clouds (including as set forth in Section 5 (Use of the Service) of these Terms) or directly by the applicable copyright holder, you may not make use of the Materials. There are no implied licenses in these Terms and MV Clouds reserves all rights to the Materials not granted expressly in these Terms.

8. Limitation of Liability.

In no event shall MV Clouds, or our officers, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the service, or any content or information on or accessed through the service, even if MV Clouds has been advised of the possibility of such damages.

8.1 Indemnity.

You agree to indemnify and hold harmless MV Clouds, its affiliates, subsidiaries, directors, officers, employees, agents, licensors, and partners from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

To the fullest extent permitted by law, you are responsible for your use of the Service, and you will defend and indemnify MV Clouds, its affiliates, subsidiaries, directors, officers, employees, agents, licensors, and partners from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including attorneys' fees and costs, arising out of or connected with:

● your unauthorized use of, or misuse of, the Service;
● your violation of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation;
● your violation of any third-party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or
● any dispute or issue between you and any third party.

MV Clouds reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.

9. User-Generated Content.

9.1 What is User Content?

The Service may allow you to share content like messages, photos, videos, or other materials ("User Content"). You retain ownership of your User Content.

9.2 How we use your User Content

By sharing User Content on the Service, you grant MV Clouds a limited right to use, store, and display your content to other users. This allows us to provide the Service and improve your user experience.

9.3 Your Responsibility

You are responsible for the content you share: Ensure that your User Content does not violate any laws, infringe on anyone's rights, or harm others.

You must have the right to share: Make sure you have the necessary rights to share any content you upload.
●
We may remove content: We may remove or block any User Content that violates these Terms or is otherwise inappropriate.

9.4 We don't control all content

We cannot monitor all content shared on the Service. We are not responsible for the accuracy, reliability, or quality of any User Content.

10. Communications.

10.1 Push Notifications.

When you install our app on your mobile device, you agree (or may be asked to agree) to receive push notifications, which are messages an app sends you on your mobile device when you are not in the app. You can turn off notifications by visiting your mobile device's "settings" page.

10.2 Email.

We may send you emails concerning our products and services, as well as those of third parties. You may opt out of promotional emails by following the unsubscribe instructions in the promotional email itself.

11. Prohibited Conduct.

By using the service, you agree not to:

● Use the Service for any illegal purpose or in violation of any local, state, national, or international law;
● Use a virtual private network (VPN), proxy service, or any other technology or method to mask your true location or IP address for the purpose of accessing the Service from a country or jurisdiction where such access is prohibited by local laws or regulations. You acknowledge and agree that it is your responsibility to ensure that your use of the Service complies with all applicable local laws and regulations, and that the use of such technologies to circumvent legal restrictions is a violation of these Terms;
● Post content related to partisan political activities;
● Harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Service;
● Violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
● Access, search, or otherwise use any portion of the Service through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, and data mining tools) other than the software or search agents provided by MV Clouds;
● Interfere with security-related features of the Service, including by: (a) disabling or circumventing features that prevent or limit use, printing or copying of any content; or (b) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
● Interfere with the operation of the Service or any user's enjoyment of the Service, including by: (a) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (b) making any unsolicited offer or advertisement to another user of the Service; (c) collecting personal information about another user or third party without consent; or (d) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
● Perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation or identity, accessing any other Account without permission, or falsifying your age or date of birth;
● Sell or otherwise transfer the access granted under these Terms or any Materials (as defined in Section 7 (Ownership; Proprietary Rights)) or any right or ability to view, access, or use any Materials; or
● Attempt to do any of the acts described in this Section 10 (Prohibited Conduct) or assist or permit any person in engaging in any of the acts described in this Section 10 (Prohibited Conduct).

12. Intellectual Property Rights Protection

12.1 Respect of Third-Party Rights.

MV Clouds respects the intellectual property rights of others. We ask all users of the Service to do the same. Infringing activity will not be tolerated on or through the Service.

12.2 Copyright Complaints

If you believe that any content on the Service infringes your copyright, please notify us at:

Your notification should include:

● A description of the copyrighted work that you claim has been infringed.
● A description of the material that you claim is infringing and its location on the Service.

● A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
● A statement that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

12.3 Counter-Notification

If you believe that content you posted was removed due to a mistake, you may submit a counter-notification to us.

12.4 Consequences

MV Clouds Private Limited may terminate the accounts of users who repeatedly infringe the copyrights of others.

13 Updates to the Terms and Termination

We may change the Terms from time to time and will keep the Terms and Conditions page updated. Your continued use of the Service after the effective date of the update constitutes your acceptance of the modified Terms.

You can terminate your account at any time by informing us. We may also terminate your account or suspend your access to the Service at any time for any reason, with or without notice.

14. Term, Termination, and Modifications

14.1 Term:

These Terms are effective when you first access or use the Service and continue until terminated as described below.

By You: You may terminate your account at any time by following the instructions within the app/website.

By MV Clouds: MV Clouds may terminate your account or suspend your access to the Service at any time, with or without notice, for any reason, including but not limited to:

We may remove content: We may remove or block any User Content that violates these Terms or is otherwise inappropriate.

  ○ Suspected fraudulent activity
  ○ Suspected security breaches
  ○ Non-payment for any services

14.3 Effects of Termination:

Upon termination:

● Your access to the Service will be immediately terminated.
● You will no longer be able to use your account.
● You are responsible for any outstanding payments.
● MV Clouds may retain certain information related to your account as required by law.

14.4 Modification of the Service:

MV Clouds reserves the right to modify or discontinue any aspect of the Service at any time, including but not limited to features, functionality, and availability. We will make reasonable efforts to notify you of any significant changes.

15 Disclaimers; No Warranties

15.1 The service and all materials and content available through the service are provided "as is" and on an "as available" basis. MV Clouds disclaims all warranties of any kind, whether express or implied, relating to the service and all materials and content available through the service, including: (a) any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, or non-infringement; and (b) any warranty arising out of course of dealing, usage, or trade. MV Clouds does not warrant that the service or any portion of the service, or any materials or content offered through the service, will be uninterrupted, secure, or free of errors, viruses, or other harmful components, and MV Clouds does not warrant that any of those issues will be corrected.

15.2 No advice or information, whether oral or written, obtained by you from the service, MV Clouds, or any materials or content available through the service will create any warranty regarding MV Clouds or the service that is not expressly stated in these terms. We are not responsible for any damage that may result from the service and your dealing with any other service user. You understand and agree that you use the service (and any portion(s) thereof) at your own discretion and risk, and that we are not responsible for any damage to your property (including your computer system or mobile device used in connection with the service) or any loss of data, including user content.

15.3 The limitations, exclusions, and disclaimers in this section 16 (disclaimers; no warranties) apply to the fullest extent permitted by law. MV Clouds does not disclaim any warranty or other right that MV Clouds is prohibited from disclaiming under applicable law.

16. Limitation of Liability

16.1 Disclaimer:

MV Clouds shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, any loss of profits, goodwill, or any other intangible losses.

16.2 Limitation of Liability:

To the fullest extent permitted by law, MV Clouds' total liability to you for any claims arising from your use of the Service shall be limited to the amount you paid for access to and use of the Service in the 3 months prior to the event giving rise to the claim.

16.3 Disclaimer of Warranties:

This limitation of liability applies to the fullest extent permitted by law.

17. Resolving Disputes

We understand that sometimes issues may arise. If you have a concern or complaint about the Service, please reach out to our customer support team first. We'll do our best to find a quick and friendly solution.

If we can't resolve the issue together:

You have the option to choose arbitration: This means an independent third party (an arbitrator) will fairly and impartially decide the matter. It's generally faster and less formal than going to court.

You can opt-out of arbitration: If you prefer not to use arbitration, you can opt-out within 30 days of agreeing to these Terms. To opt-out, send a written notice to the below address clearly stating your decision to opt-out of arbitration.

18. General Terms

These Terms and Conditions, along with our Privacy Policy and any additional terms referenced here, form the entire agreement between you and MV Clouds regarding your use of the Service.

Assignment: You cannot transfer or assign these Terms or your rights under them to someone else. However, MV Clouds can assign these Terms to another company at any time.
●
Enforceability: If any part of these Terms is found to be invalid, the remaining parts will still be enforceable.
●
Headings: Headings are for convenience only and don't affect the meaning of any provision.
●
Interpretation of "including": The word "including" means "including but not limited to" throughout these Terms.

19. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of India. Any legal disputes arising from these Terms will be resolved in courts located in Ahmedabad, Gujarat, India.

International Use: Using the Service from countries or territories where it's illegal is prohibited.
●
Sanctions: You confirm that you are not subject to any sanctions or restrictions that would prevent you from using the Service.
